1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Storage Facility AI, LLC DBA Lumio Storage ("Lumio Storage," "we," "us," or "our"), a Delaware limited liability company, concerning your access to and use of the Lumio Storage AI voice agent services.

By registering for, accessing, or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use our services.

2. SERVICES DESCRIPTION

Lumio Storage provides AI-powered voice agent services specifically designed for self-storage facilities, including:

• 24/7 automated call answering
• Real-time website content synchronization
• Call transcription and management
• SMS link delivery (with consent)
• Dashboard analytics and reporting

2.1 Service Availability

Our services are available exclusively to businesses operating within the United States. We support only US phone numbers.

2.2 Service Limitations

Our AI voice agent is not designed to handle and will not respond to:

• Medical emergencies or health-related issues
• Emergency situations requiring immediate human intervention
• Any illegal or fraudulent activities

In such cases, the AI will attempt to redirect callers to appropriate emergency services or human staff.

3. ACCOUNT REGISTRATION AND RESPONSIBILITIES

3.1 Account Information

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

3.2 Customer Responsibilities

You are responsible for:

• Maintaining accurate and up-to-date website information
• Ensuring all facility information provided is legal, accurate, and not misleading
• Compliance with all applicable laws and regulations
• Properly configuring call forwarding to our system
• Obtaining necessary consents from your customers for call recording where required

4. PRICING AND PAYMENT

4.1 Subscription Plans

Pricing is based on monthly subscription tiers as displayed on our website. Each plan includes a specific number of monthly calls, with overage charges applying to calls exceeding your plan limit.

4.2 Payment Processing

We accept payment via credit cards through our payment processor, Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time through your dashboard.

4.4 Price Changes

We reserve the right to modify our pricing. We will provide at least thirty (30) days advance notice of any price increases affecting your subscription.

4.5 Refund Policy

All payments are non-refundable. No refunds will be provided for partial months, unused calls, or any other reason.

5. PROPRIETARY RIGHTS AND LICENSES

5.1 Lumio Storage Property

Our services, including all software, technology, designs, materials, and content, are owned by Lumio Storage and protected by intellectual property laws. This includes our proprietary website scraping technology.

5.2 Customer Content

You retain all ownership rights to content you upload or provide to our services ("Customer Content"). By uploading Customer Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, modify, and display such content solely for the purpose of providing our services to you.

5.3 Feedback and Testimonials

We may use anonymized usage data and customer testimonials for marketing purposes. Any feedback or suggestions you provide become our property and may be used without compensation to you.

6. PROHIBITED USES

You agree not to:

• Use our website scraping technology for your own commercial purposes
• Reverse engineer, decompile, or attempt to extract source code from our services
• Use our services for any illegal or unauthorized purpose
• Interfere with or disrupt our services or servers
• Violate any applicable laws or regulations
• Resell or redistribute our services without written permission

7. DATA PRIVACY AND RETENTION

7.1 Data Collection and Use

We collect and process data as described in our Privacy Policy. We do not use customer call data to train or improve our AI models without explicit consent.

7.2 Data Retention

• Call recordings are retained for two (2) years
• Call transcripts are retained indefinitely
• Other customer data is retained as outlined in our Privacy Policy

7.3 Data Deletion Requests

You may request deletion of your data by contacting support@lumiostorage.com. We will comply with such requests subject to any legal obligations to retain certain data.

7.4 Compliance

We comply with applicable data protection regulations, including GDPR and CCPA where applicable.

8. SMS COMPLIANCE

When using our SMS link delivery feature, you acknowledge and agree that:

• Our AI agent obtains explicit verbal consent from callers during the phone conversation before sending any SMS messages (e.g., "Would you like me to text you a link to our website?")
• All SMS communications will comply with the Telephone Consumer Protection Act (TCPA) and other applicable US regulations
• You are responsible for any violations of SMS regulations resulting from your use of our services

9. PHONE NUMBER PORTABILITY

If you port your existing phone number to our service:

• You retain ownership of your phone number
• Upon cancellation, you may request to port your number away from our service
• We will cooperate with number porting requests in accordance with FCC regulations

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Service Availability

WE PROVIDE OUR SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE ANY SPECIFIC UPTIME OR SERVICE LEVEL.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIO STORAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF OUR SERVICES.

10.3 Maximum Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lumio Storage, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Customer Content

12. DISPUTE RESOLUTION

12.1 Mandatory Arbitration

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

12.2 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions, class arbitrations, or other collective proceedings.

12.3 Exceptions

The requirement for arbitration does not apply to claims for injunctive relief concerning intellectual property rights violations.

13. TERMINATION

13.1 Termination by You

You may terminate your account at any time through your dashboard or by contacting support.

13.2 Termination by Us

We may suspend or terminate your account for violation of these Terms or for any other reason with notice.

13.3 Effect of Termination

Upon termination:

• Your access to our services will cease
• You remain liable for any outstanding fees
• Provisions that should reasonably survive will remain in effect

14. GENERAL PROVISIONS

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms constitute the entire agreement between you and Lumio Storage regarding our services.

14.3 Modifications

We may modify these Terms at any time. We will notify you of material changes via email or through our services. Continued use after changes constitutes acceptance.

14.4 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

14.5 Assignment

You may not assign or transfer these Terms. We may assign our rights to any successor or acquirer.
